Vendor Terms

1. Introduction These Vendor Terms & Conditions (“Agreement”) govern the relationship between Ibex Technology (WMETA) and any individual or entity registered as a Vendor/Reseller/Partner on the platform. By registering as a Vendor, you agree to be legally bound by these terms. 2. Vendor Role & Responsibilities A Vendor is authorized to: Promote and resell WMETA services Onboard end clients Manage client relationships Provide first-level support to their customers The Vendor agrees that: All services must be sold in compliance with WhatsApp/Meta policies. Only lawful and consent-based messaging services will be promoted. No false commitments or misleading claims will be made about WMETA services. Vendor will not misuse brand name, logo, or company identity. 3. Compliance with WhatsApp / Meta Policies Vendor must ensure: All end clients follow WhatsApp Business API rules. Proper opt-in consent is collected before messaging. No spam, illegal, adult, gambling, scam, or restricted content is promoted. If any client onboarded by Vendor violates Meta policies and results in number ban or restriction, the Vendor will be fully responsible. WMETA / Ibex Technology will not be liable for such violations. 4. Pricing & Payments Vendor pricing will be shared separately via official communication. Vendors must clear advance payments before activating client services. All payments are non-refundable unless agreed in writing. Taxes (including GST) will be applicable as per Indian law. WMETA reserves the right to revise pricing with prior notice. 5. Revenue Sharing (If Applicable) If a revenue-sharing model is agreed: Profit distribution terms will be defined in a separate written agreement. Company operational share (if any) will be deducted before final distribution. Payments will be released as per mutually agreed cycle. (You can customize this section if you have a fixed % structure.) 6. Account Usage & Restrictions Vendor shall NOT: Create fake accounts Bypass system pricing Use platform for personal spam Reverse engineer, copy, or resell software technology Damage company reputation Any misuse may result in immediate termination without refund. 7. Branding & Marketing Vendor may: Use WMETA branding only with written permission. Promote services ethically and professionally. Vendor may NOT: Register domain names using WMETA or Ibex Technology name. Misrepresent themselves as company owner or legal representative. 8. Data Protection & Confidentiality Vendor agrees to: Maintain confidentiality of client data. Protect login credentials. Not share API keys, pricing structure, or internal information with unauthorized persons. Data misuse will lead to legal action. 9. Limitation of Liability Ibex Technology shall not be responsible for: Vendor’s business losses Client disputes handled by Vendor WhatsApp number bans due to misuse Indirect or consequential damages Vendor operates independently and is not an employee or legal partner of the company. 10. Termination WMETA reserves the right to: Suspend Vendor account for policy violation Terminate agreement without prior notice in serious breach cases Recover damages caused by Vendor misconduct Vendor may request account termination via email at info@ibextechnology.in . 11. Governing Law This Agreement shall be governed by the laws of India. Any disputes shall fall under the jurisdiction of courts located in [Your City, e.g., Jaipur, Rajasthan]. 12. Modifications WMETA reserves the right to update these Vendor Terms at any time. Continued use of the platform constitutes acceptance of revised terms.
